Big City Bass Club Bylaws

ARTICLE I: NAME AND PURPOSE
Section 1: Name
This organization shall be called Big City Bass Club
Section 2: Purpose
A. To promote bass fishing as a major sport and recreational activity
B. To increase awareness of bass fishing to all demographic groups, regardless of gender, race, or age
C. To exchange information and techniques with our fellow bass anglers
D. To promote adherence to all laws and regulations relating to bass fishing
E. To improve the quality of the water and surrounding areas of the waters that we fish
ARTICLE II: MEMBERSHIP
Section 1: Club Membership
All Utah Bass Federation members in good standing with FLW Outdoors and/or BASS are eligible for membership in Big City Bass Club and will be invited to actively participate
Section 2: Dues
A. The Officers may establish a dues structure as a requirement to belong to Big City Bass Club. Currently, dues are $15.00 yearly
B. Tournament dues are $20.00, with an optional $5.00 for big fish
Section 3: Requirements for Membership
To become a member:
A. Have either applied for membership or be a member in good standing with FLW Outdoors and/or BASS
B. Adhere to any dues schedule prescribed by the Utah Bass Federation Board of Directors and/or The Utah Bass Federation Nation
C. Participate in a minimum of 50% of Club meetings and functions
D. There is no vote needed to gain entry to Big City Bass Club, however; any member who fails to abide by rules of TBF, the Utah Bass Federation, and/or Big City Bass Club, or whose actions are deemed detrimental to the goals of the above entities, may be dismissed by club vote (see voting below)
ARTICLE III: Officers
Section 1: Elections
Big City Bass Club officers shall consist of:
A. One elected representative for each of the following positions:
President
Vice President
B. The president will appoint members for the following offices:
Information Officer
Federation Representatives (2)
C. Officers are elected during the November meeting, nominations are accepted before the November meeting.
Section 2: Term of Office
A. Shall be for one (1) calendar year, beginning January 1
B. All officers may serve more than one but not more than two consecutive terms in the same office
Section 3: Officers and Member Chapter Representative's Duties
A. President
1. To preside over all club meetings and direct all official business of the club
2. To ensure that the club is represented at all UBF and/or BFN functions
3. Assist in tournament/activity planning
4. Maintain relationships with sponsors as well as recruit new ones
B. Vice President
1. Preside in the absence of the President and assist the President in his duties
2. Assist with club publications and documentation
3. Verify financial reports and transactions of the club
4. Actively recruit new members and sponsors
C. Information Officer
1. Publish "News Reel" cooperatively with the President
2. Maintain website and discussion forum
3. Assist President with record keeping duties for Tournaments and yearly awards
4. Oversee voting for bylaw changes and officer elections
D. Federation Representatives
1. Attend all UBF or BFN General Meetings
2. Report proposals and/or changes in UBF structure
3. Vote on behalf of Big City Bass Club during General Meetings
Section 4: Voting
A. Each member of the club, except the President (see B below), is entitled to one vote
B. The President will vote only in case of a tie
C. Simple majorities vote by the club is required for approval for general business
D. A 2/3-majority vote is required for a Big City Bass Club by-law change or member dismissal
E. All votes for member dismissal shall be by secret ballot
F. All other votes shall be by roll call unless the President deems a secret ballot necessary
Section 5: Vacancies
In the event of a Club office becoming vacant, nominations shall be asked for and an election held for the remaining term of the individual vacating the office
ARTICLE IV: ELIGIBILITY FOR HOLDING OFFICE
Section 1: Member Chapter Representatives to the Federation
A. Must be a member in good standings of FLW Outdoors or BASS Federation Nation
B. Must be a member of Big City Bass Club, a chapter of the Utah BASS Federation or The BASS Federation Nation
ARTICLE V: OFFICER ELECTIONS
Section 1: Voting
Voting shall be by a simple majority of the club members.
Section 2: Attendance
A minimum of 2/3 of the club members must be present or submit proxy votes through at least two officers of the club
ARTICLE VI: REMOVAL FROM OFFICE
Section 1: Big City Bass Club Officers
A. Any member of the club who can show just cause why a current officer is not qualified to execute the duties of that office can ask the club for that officer's removal
B. A 2/3 majority vote of the club will be required for removal
C. If the officers can show just cause why a member chapter representative should be removed, they may request that that representative step down an appoint a new one.
ARTICLE VII: MEETINGS
Section 1: Meeting Date
Big City Bass Club shall meet as often as deemed necessary by the officers
Section 2: Open Meetings
Big City Bass Club meetings shall be open to all B.A.S.S. or FLW chapter members and the public, except in special circumstances (see Section 3 below)
Section 3: Closed Meetings
The club meetings can be closed to the public at the discretion of the President
Section 4: Special Meetings
Special meetings may be called as needed by the President, with 36 hours prior notice, either written or verbal, to the officers. The minutes of these meeting may be kept secret at the discretion of the officers
ARTICLE VIII: BY-LAWS
Section 1: Proposing Changes
Proposed changes to the by-laws may be presented at any regular meeting of Big City Bass Club or by phone/email notification.
Section 2: Voting on Proposed Changes
A. Proposed changes by members must be presented to the officers at least one regular meeting prior and will be voted on at the next regular meeting
B. The officers may change articles of the bylaws at their discretions, but must publish the proposed changes and hear objections from members at the following club meeting
ARTICLE IX: CLUB FUNDING
Section 1: Source of Club Funds
A. Funds for the support and operating expenses of Big City Bass Club will be derived from the original and possible periodic funding from its' members
B. Funds raised by projects sponsored by Big City Bass Club
Section 2: Outside Funding
Under no circumstances may Big City Bass Club accept monetary assistance or products from individuals, businesses, corporations, or government agencies if there is any evidence that the goals of these entities are contrary to the primary goals of Big City Bass Club or the Utah Bass Federation
